These Terms of Service (the "Terms") govern your use of Reading Compass. Please read them carefully. By creating an account, subscribing, or using Reading Compass, you agree to these Terms. If you do not agree, please do not use Reading Compass.
If you are using Reading Compass as a parent or legal guardian on behalf of a child, these Terms apply to you, and you are also responsible for the child's use of the service consistent with these Terms.
1. About Reading Compass
Reading Compass is an educational reading-assessment service for children ages three to eleven. A parent or legal guardian registers and pays for the service on our website. After registration, the parent generates a session for the child on our iOS application. The child takes the assessment, and the parent reviews the results on the website.
A parent may also authorize an educator (for example, a tutor or learning specialist) to administer or review assessments inside the parent's account. The educator operates within the parent's account; there is no separate educator account, no separate educator role in the data model, and no separate educator-side consent path.
Reading Compass is operated by BLEKS Education Technology Solutions, Inc., a Delaware corporation registered as a foreign corporation in Texas (referred to in these Terms as "BLEKS," "we," "us," or "our"). The Reading Compass website is readingcompass.ai. The Reading Compass iOS application is distributed through the Apple App Store under the Education category.
Our Privacy Policy describes how we handle information collected through Reading Compass, including verifiable parental consent under the Children's Online Privacy Protection Act. The Privacy Policy is available at readingcompass.ai/privacy and is incorporated into these Terms by reference.
2. Who May Use Reading Compass
You may use Reading Compass if all of the following are true:
- You are at least eighteen years old.
- You are the parent or legal guardian of the child or children who will take the assessment, or you are an educator authorized by the child's parent or legal guardian to administer the assessment inside that parent's account.
- You can form a legally binding contract under applicable law.
- You agree to these Terms and to our Privacy Policy.
Reading Compass is not designed for child-directed registration. Children do not create accounts or subscribe directly. The parent or guardian completes registration and the parental-consent process described in the Privacy Policy before any child information is collected. An educator who has been authorized by the parent to operate inside the parent's account does so under the parent's authority and does not provide a separate consent.
Reading Compass is intended for use in the United States. We do not currently offer Reading Compass in other countries. If you access the service from outside the United States, you do so on your own initiative and are responsible for compliance with applicable local laws.
3. Your Account
To use Reading Compass, you create an account at readingcompass.ai. During account creation, you provide an email address, set a password, and add a payment method through Stripe.
Account information. You agree to provide accurate, current, and complete information when you create your account, and to keep it accurate and current. If your email address changes, please update it in your account settings.
Password security. You are responsible for maintaining the confidentiality of your password and for any activity that occurs under your account. Choose a strong password and do not share it. If you suspect that someone else is using your account, please contact us immediately at support@readingcompass.ai.
One account per parent. A parent or guardian uses a single account to manage one or more child profiles within their household. You may not transfer or sell your account.
Authorized educators. You may authorize an educator to operate inside your account for the purpose of administering or reviewing assessments for your child. Authorizing an educator does not transfer your account to the educator. You remain responsible for the use of your account consistent with these Terms.
Account closure. You can close your account at any time through your account settings or by contacting support@readingcompass.ai. Closing your account is treated as a deletion request for the associated child profiles, and we will complete deletion within thirty days, except as described in the Privacy Policy where a parent-authorized educator continues to manage the child profile under a separate account with verifiable parental consent on file.
4. Subscriptions, Payments, and Billing
Reading Compass is offered as a subscription service. The current pricing, billing frequency, and any free trial or beta period terms are described on our website at the time you subscribe. By subscribing, you authorize Stripe to process the charge using the payment method you provided.
Beta or trial period. If you are participating in a free beta or trial period, your card is captured for parental-consent verification but is not charged during that period. We will notify you at least fourteen days before any first charge, and you can cancel before any charge.
Auto-renewal. Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. Renewal pricing will match the then-current published price unless we have notified you of a change at least thirty days in advance.
Cancellation. You can cancel your subscription at any time through your account settings or by contacting support@readingcompass.ai. Cancellation takes effect at the end of the then-current billing period. You retain access to Reading Compass through that period.
Refunds. We do not generally provide refunds for partial billing periods. We may, in our discretion, provide refunds in cases of service errors or other exceptional circumstances. If you believe you are entitled to a refund, please contact support@readingcompass.ai.
App Store purchases. If you subscribe through the Apple App Store rather than directly on our website, the App Store's purchase, refund, and cancellation rules apply to that transaction. We do not control App Store purchase mechanics. To cancel an App Store subscription, follow Apple's cancellation process.
Taxes. Stated prices do not include taxes unless specifically noted. You are responsible for any applicable taxes on your subscription.
5. License to Use Reading Compass
Subject to these Terms, BLEKS grants you a limited, non-exclusive, non-transferable, revocable license to access and use Reading Compass for the personal, non-commercial educational purposes of your child or children. The license includes the right to install and use the Reading Compass iOS application on devices you own or control, consistent with the Apple App Store's End User License Agreement.
This license does not include any right to:
- Sell, sublicense, lease, rent, or otherwise transfer Reading Compass or your account
- Use Reading Compass for any commercial purpose, including bulk administration or resale to other parents or organizations, except under a separate written agreement with us
- Reproduce, distribute, modify, or create derivative works of Reading Compass, except as expressly permitted by these Terms
- Reverse-engineer, decompile, disassemble, or attempt to derive the source code of Reading Compass, except to the limited extent applicable law expressly permits this
- Bypass, disable, or interfere with security or authentication features of Reading Compass
- Use Reading Compass for benchmarking, competitive analysis, or to develop a competing product or service
All rights not expressly granted to you are reserved by BLEKS.
6. Acceptable Use
You agree to use Reading Compass only for lawful purposes consistent with these Terms. You agree not to:
- Use Reading Compass in a way that violates any applicable law, regulation, or rule
- Use Reading Compass to harass, threaten, defame, or harm any person
- Submit information you know to be false, including pretending to be the parent or legal guardian of a child for whom you are not authorized to provide consent, or pretending to be an educator authorized by such a parent
- Submit material that infringes the intellectual property rights or privacy rights of any third party
- Upload, transmit, or distribute viruses, malware, or any code intended to disrupt, damage, or gain unauthorized access to any system or data
- Interfere with the operation of Reading Compass or the experience of other users, including by overloading or attacking our servers
- Attempt to gain unauthorized access to any account, system, or data on Reading Compass
- Use any automated means (such as bots, scrapers, or crawlers) to access Reading Compass except as expressly permitted by us in writing
- Remove or alter any copyright, trademark, or other proprietary notice on Reading Compass
We may suspend or terminate access for any account we believe is being used in violation of these Terms.
7. Intellectual Property
Our content. Reading Compass, including the website, the iOS application, the assessment battery, the scoring rubrics, the report templates, the AI avatars and instructional voices used in the service, the underlying software, the documentation, and all related materials, is the intellectual property of BLEKS or its licensors. Reading Compass is protected by copyright, trademark, trade-secret, and other intellectual-property laws.
Your content. Reading Compass records audio of your child during the assessment, the video segments captured during the session, a single snapshot still image of your child displayed on your dashboard, and the scored responses. You retain ownership of your child's recorded responses ("Your Content"). By using Reading Compass, you grant BLEKS a non-exclusive, worldwide, royalty-free license to use, store, process, transmit, and display Your Content for the purpose of providing Reading Compass to you, generating the assessment report, rendering the longitudinal progress view on your dashboard, and improving and training the Reading Compass scoring and analysis models, all as described in and consistent with the Privacy Policy.
We use Your Content to operate Reading Compass and to improve and train the Reading Compass scoring and analysis models, as described in the Privacy Policy. This is a first-party use, disclosed to you before you complete signup, and covered by the verifiable parental consent you provide at signup. We do not sell Your Content and we do not disclose it to any third party for that third party's own purposes. The service providers we use act only on our behalf.
Feedback. If you send us feedback, suggestions, ideas, or other input about Reading Compass, you grant us a perpetual, non-exclusive, worldwide, royalty-free license to use your feedback to improve Reading Compass and our other products and services. We do not owe you compensation for feedback.
Trademarks. "Reading Compass," the Reading Compass logo, and "BLEKS Education Technology Solutions" are trademarks of BLEKS. Other trademarks referenced on Reading Compass belong to their respective owners.
8. Third-Party Services
Reading Compass uses third-party services to operate. These include OpenAI for transcription and scoring, Stripe for payments, Amazon Web Services for hosting and content delivery, MailerLite for email, our engineering services provider CloudEva Tech, and others described in the Privacy Policy. Each third-party service is subject to its own terms and policies.
Our avatar instruction videos were produced by a third-party service prior to deployment and are served as static animated content from our content delivery network. No child data is transmitted to the avatar production service during any assessment session.
You may also access third-party content or services through links from Reading Compass (for example, the Apple App Store). Third-party content and services are not under our control. We are not responsible for third-party content or services. Your use of third-party content or services is subject to their separate terms.
9. Apple App Store Terms
If you download the Reading Compass iOS application from the Apple App Store, the following additional terms apply between you and BLEKS, and Apple is not a party to these Terms but is a third-party beneficiary of these Terms with respect to those provisions:
- These Terms are between you and BLEKS, not between you and Apple. BLEKS is solely responsible for Reading Compass and its content.
- The license granted to you in Section 5 is limited to a non-transferable license to use Reading Compass on Apple-branded products that you own or control, as permitted by the Apple Media Services Terms and Conditions.
- Apple has no obligation to provide maintenance or support for Reading Compass. If you have any maintenance or support questions, contact us at support@readingcompass.ai.
- Apple is not responsible for any product warranties, whether express or implied. If Reading Compass fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any) attributable to Reading Compass. To the maximum extent permitted by applicable law, Apple has no other warranty obligation with respect to Reading Compass.
- BLEKS, not Apple, is responsible for addressing any claims by you or any third party relating to Reading Compass, including product-liability claims, claims that Reading Compass fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer-protection or similar legislation.
- BLEKS, not Apple, is responsible for any third-party claim that Reading Compass or your use of it infringes that third party's intellectual property rights.
- You represent that you are not located in a country subject to a U.S. government embargo or designated as a terrorist-supporting country, and that you are not on any U.S. government list of prohibited or restricted parties.
10. Privacy and Children's Information
Reading Compass collects and processes information about parents and children. We treat children's information as required by the Children's Online Privacy Protection Act, the Texas Student Online Privacy Protection Act, the Delaware Online Privacy and Protection Act, and other applicable law. The Privacy Policy describes what we collect, how we use it, who we share it with, how long we keep it, and what rights you have. The Privacy Policy is available at readingcompass.ai/privacy and is incorporated into these Terms.
By using Reading Compass on behalf of your child, you confirm that you have read the Privacy Policy and that you have provided verifiable parental consent for your child's participation, as described there. That consent covers all of the uses of your child's information described in the Privacy Policy, including the recording and retention of audio and video and their use to operate and to improve and train Reading Compass.
11. Service Availability and Changes
We provide Reading Compass on an ongoing basis but do not guarantee uninterrupted availability. Reading Compass may be unavailable due to maintenance, updates, third-party service outages, or other factors outside our control.
We may add features, change features, or remove features from Reading Compass over time. Material changes that reduce the functionality of the service for which you have paid will be communicated to you with reasonable advance notice and, in our discretion, with a refund or service credit when warranted.
We may also make changes to the assessment battery, scoring rubrics, or content. The assessment is a clinical-style measurement tool designed to align with the science of reading; we may revise it as our methodology and research base evolve.
12. Disclaimers
Reading Compass is provided to you on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, BLEKS disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing, course of performance, or trade usage.
Reading Compass is an educational assessment tool. Reading Compass is not a medical device, not a clinical diagnostic, and not a substitute for evaluation by a licensed educator, psychologist, speech-language pathologist, or other qualified professional. The reports generated by Reading Compass are intended to inform parents and educators, not to diagnose learning disabilities or other conditions. If you have concerns about your child's reading development, please consult a qualified professional.
We do not warrant that Reading Compass will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not warrant that the assessment scores or reports will be accurate in every case. The accuracy of automated speech recognition and AI-based scoring is subject to limitations described in our public materials and improves over time.
Some jurisdictions do not allow the disclaimer of certain warranties; in those jurisdictions, the disclaimers above apply to the maximum extent permitted by applicable law.
13. Limitation of Liability
To the maximum extent permitted by applicable law, in no event will BLEKS, its officers, directors, employees, contractors, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including damages for lost profits, lost revenue, lost data, or business interruption, arising out of or related to your use of Reading Compass, even if BLEKS has been advised of the possibility of such damages.
To the maximum extent permitted by applicable law, BLEKS's total liability arising out of or related to these Terms or your use of Reading Compass will not exceed the greater of (a) the amount you paid to BLEKS for Reading Compass in the twelve months preceding the event giving rise to the liability, or (b) one hundred United States dollars.
These limitations apply regardless of the legal theory on which a claim is based, including contract, tort (including negligence), strict liability, or any other legal theory.
Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages; in those jurisdictions, the limitations above apply to the maximum extent permitted by applicable law.
14. Indemnification
To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless BLEKS, its officers, directors, employees, contractors, and licensors from any claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising from (a) your breach of these Terms, (b) your violation of any applicable law or third-party right, or (c) your misuse of Reading Compass. We will notify you of any claim we believe is subject to indemnification and reasonably cooperate with your defense.
15. Termination
You may terminate your account at any time as described in Section 3.
We may suspend or terminate your account if we reasonably believe you have violated these Terms, if your account has been inactive for an extended period, if your continued use creates legal or security risk for BLEKS, or if we discontinue the service.
If we terminate your account for cause (your violation of these Terms or applicable law), you forfeit any prepaid amounts. If we terminate your account without cause (because we have discontinued the service or for our own convenience), we will provide a pro-rated refund of any prepaid amounts for service you have not yet received.
The provisions of Sections 7 (Intellectual Property), 12 (Disclaimers), 13 (Limitation of Liability), 14 (Indemnification), 16 (Dispute Resolution and Governing Law), and 18 (Miscellaneous) survive termination of these Terms.
16. Dispute Resolution and Governing Law
Governing law. These Terms and any dispute arising under or relating to them are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles.
Informal resolution first. Before filing any formal proceeding, you agree to first contact us at support@readingcompass.ai to attempt to resolve the dispute informally. We will respond within thirty days. Most disputes can be resolved this way.
Court resolution. If we cannot resolve the dispute informally within thirty days, any formal proceeding will be brought exclusively in the state or federal courts located in Wilmington, Delaware. You and BLEKS each consent to the personal jurisdiction of those courts.
Time limit on claims. Any claim arising under or relating to these Terms must be brought within one year after the cause of action arises, or it is permanently barred, except as applicable law requires a longer period.
17. Changes to These Terms
We may update these Terms from time to time. The "Last Updated" date at the top of these Terms reflects the most recent revision.
Notice for material changes. When we make a material change — for example, a change to pricing, a material reduction in service, or a change to dispute resolution — we will notify you by email and by a banner on readingcompass.ai at least thirty days before the change takes effect. You can decline a material change by closing your account before the change takes effect.
Notice for non-material changes. For non-material changes, we update the Terms and the "Last Updated" date without separate notice. Your continued use of Reading Compass after the update constitutes acceptance of the updated Terms.
Version history. We retain prior versions of these Terms and can provide them on request at support@readingcompass.ai.
18. Miscellaneous
Entire agreement. These Terms, together with the Privacy Policy and any other documents expressly referenced, are the entire agreement between you and BLEKS regarding Reading Compass and supersede any prior agreements between you and BLEKS regarding the same subject.
Severability. If any provision of these Terms is held to be unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will continue in full force and effect.
No waiver. Our failure to enforce any provision of these Terms does not waive our right to enforce that provision later or to enforce any other provision.
Assignment. You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, or other corporate transaction, with notice to you and an opportunity to terminate as described in our Privacy Policy.
Force majeure. We are not liable for delays or failures in performance caused by events outside our reasonable control, including natural disasters, acts of war or terrorism, civil unrest, government actions, labor disputes, internet or third-party service outages, or pandemics.
